Terms of Service

You must be at least 18 years old to use the Service. By using Guildify, you represent and warrant that you meet this age requirement. The Service is not directed at children, and we do not knowingly allow minors to create accounts.

If you use the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Guildify uses Discord for authentication. By signing in, you link your Discord account to Guildify and authorize us to receive the account information necessary to identify you and provide the Service.

You are responsible for maintaining the security of your Discord account and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorized access.

Subject to your compliance with these Terms, Guildify grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose of community and guild management.

This license does not include the right to resell, sublicense, modify, reverse engineer, or commercially exploit the Service, or to use it in any manner not expressly authorized.

You agree not to use the Service to violate any law, infringe the rights of others, distribute malware, attempt to gain unauthorized access, disrupt the Service, or upload unlawful, harmful, infringing, or abusive content.

You further agree not to abuse the Service, including scraping, spamming, sending excessive automated requests, or using the Service in ways that degrade it for other users. Guildify may investigate and take action, including suspending or terminating access, for violations.

You retain ownership of the content, community data, event information, guild records, and other materials you create or upload ('User Content'). You are solely responsible for your User Content and warrant that you have the rights necessary to submit it.

By submitting User Content, you grant Guildify a non-exclusive, worldwide, royalty-free license to host, store, process, display, and transmit it solely as necessary to provide the Service to you and your community. This license does not grant us the right to sell or publicly distribute your private community data.

We respect intellectual property rights. If you believe material hosted on the Service infringes your copyright, you may submit a takedown notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) by contacting us.

A valid notice should identify the copyrighted work, describe the allegedly infringing material and its location, and include your contact information and a good-faith statement. Accounts of repeat infringers may be terminated.

Guildify offers Free, Premium, and Premium Plus plans, as well as optional one-time purchases such as expansion packs and AI credit packages. Pricing and included limits are described on our pricing page and at checkout.

Payments are processed by Polar, which acts as the merchant of record. Billing, renewal, cancellation, and refunds are governed by our Billing & Refund Policy, which is incorporated into these Terms by reference.

AI credits, expansion packs, and other virtual items are digital products tied to your Guildify account. They have no cash value, are not redeemable for money, and may not be transferred or resold except as expressly permitted.

Virtual items are provided 'as-is', and we may modify or discontinue them, or adjust how they are earned or consumed, with reasonable notice where required by law.

The Service, including its software, design, trademarks, logos, and other content (excluding your User Content), is owned by Guildify and its licensors and is protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any right to use Guildify's name, logos, or branding except as expressly permitted. All rights not expressly granted are reserved.

The Service integrates with third-party services, including Discord (authentication), Polar (payments), and Supabase (infrastructure). These services are governed by their own terms and privacy policies, and Guildify is not responsible for their availability or conduct.

Your use of Discord remains subject to Discord's Terms of Service and Privacy Policy in addition to these Terms.

To the maximum extent permitted by law, the Service is provided on an 'as-is' and 'as-available' basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected. Nothing in this section limits any statutory warranty rights you may have that cannot be excluded under applicable law.

To the maximum extent permitted by law, Guildify and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from your use of the Service.

To the extent not prohibited by law, Guildify's total aggregate liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of the amounts you paid to Guildify in the twelve months preceding the claim, or one hundred US dollars ($100). Some jurisdictions, including the European Union, do not allow certain liability exclusions, so these limitations may not apply to you.

To the maximum extent permitted by law, you agree to indemnify and hold harmless Guildify and its affiliates from claims, damages, and expenses arising from your use of the Service, your User Content, or your breach of these Terms.

This obligation does not apply where prohibited by applicable law, including where mandatory consumer protections apply.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Guildify's principal place of business is located, without regard to conflict-of-law principles.

If you are a consumer in the European Economic Area or the United Kingdom, you are not deprived of the protections of the mandatory laws of your country of residence, and you may bring proceedings in the courts of your country of residence.

To the extent permitted by law and solely where applicable (for example, in the United States), you agree to resolve disputes with Guildify on an individual basis and waive any right to bring or participate in a class or representative action.

This class action waiver does not apply where prohibited by law, including for consumers in the European Economic Area and the United Kingdom.

We may update these Terms from time to time. Material changes will be communicated through the Service or by other reasonable means before they take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Service.

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, violation of law, abuse, or risk of harm to the Service or others.

Provisions that by their nature should survive termination, including liability limitations, indemnification, and governing law, will survive.
